D3DX is exclusively available in the DX7 SDK not before. If you don't want to download it you can purchase it from Microsoft on CD.

I was just wondering where I could grab D3DX? Does it come with the DX7 SDK or what. I am reafraining from DL the SDK due to it's massive size <- for me on 56K ne way

Check out www.microsoft.com/directx !! There you can download a smaller SDK with just a few MB !! You only get D3DX, Documentation, Headers and Libs, but no sample-code !!
But it might be everything you need.
